We want your experience on our Site to be enjoyable, useful and secure. Because our Site contains original content and offers certain services to you, we want you to have a clear understanding of our rights and your obligations when using the Site. Your use of and access to the Site is therefore subject to these Terms and Conditions of Use (“Terms”), which constitute a binding agreement between you and COSMOS. If you do not agree with these Terms, you may not use this Site.
Certain interactive features and content on the Site are accessible only to subscribers (“Members”) and are subject to additional terms and conditions set out below. (References in these Terms to “you” and “your” shall include both Members and non-Member users of the Site).

While you are not obligated to download such plug-ins or software, your use and enjoyment of the Site may then be diminished and you may not be able to use certain features of the Site. Intellectual Property and Ownership
All content included or available on this Site, except for Member Content, including without limitation Site designs and layouts, text, graphics, icons, images, photographs, streaming or audio and video, interfaces, the selection, compilation and arrangements thereof, and underlying software and code in various formats (collectively “Cosmos Content”), is owned and controlled by COSMOS and its affiliates, advertisers or licensors, and is protected by the copyright and trademark laws of the United States, international conventions and other countries. The Site itself is protected by COSMOS as a collective work and/or compilation, pursuant to United States copyright laws, international conventions and other copyright laws. You may download and print out pages and information from this Site only for your personal, non-commercial use, provided you retain all copyright, trademark and other proprietary notices. You may not use, modify, reproduce, distribute, republish, upload, create derivative works from, data mine, post or transmit in any way any Cosmos Content except as expressly permitted by these Terms or otherwise with the prior written permission of an authorized officer of COSMOS. No robot, spider, or other automatic device or manual process may be used to monitor or copy our web pages or the content contained therein without prior written permission of an authorized officer of COSMOS.
NEW YORK COSMOS®, COSMOS®, the various COSMOS logos and nycosmos.com™ are proprietary trademarks and service marks of COSMOS or its affiliates, including Cosmos Soccer Club LLC. COSMOS trademarks and service marks may not be used in connection with any product or service that is not provided, approved or licensed by COSMOS, in any manner that is likely to cause confusion or dilute the distinctive quality of the COSMOS marks, or in any manner that disparages or discredits COSMOS.
If you subscribe to any services on the Site that require a user name and password, such user name and password shall, with respect to this Site, be deemed confidential information of COSMOS and shall not be shared with, or disclosed by you to, anyone else.
Purchases Through the Site
COSMOS may offer products or services for sale through the Site, including through various vendors and licensees of COSMOS. All purchases are subject to availability. If any purchased product is not as described, your sole remedy is to return it in unused condition (subject to the terms of any manufacturer’s or vendor warranties).
COSMOS and its vendors reserve the right to modify the price of any product or service offered for sale through the Site. COSMOS is not responsible for any typographical or other errors in describing any products or services. Any offer to sell any such products or services may be discontinued at any time in the sole discretion of COSMOS or its vendors.

License and Site Access
COSMOS grants you a limited license to access and make personal use of this Site. You may download and print pages and information from this Site only for your personal, non-commercial, use and reference. You may not modify, distribute, perform, display or create any derivative works from any Cosmos Content or further copy any Cosmos Content without the express written consent of COSMOS. This license prohibits any commercial use of this Site or its Cosmos Content or any use of data mining, robots or similar data gathering and extraction tools. You may not frame or utilize framing techniques to enclose any Cosmos Content on the Site without the express written consent of COSMOS. You may not use or embed in any other Internet site or blog any meta tags or other non-visible meta-data that incorporates any trademarks, service marks, logos or trade names of COSMOS or any COSMOS affiliates without the express written consent of COSMOS. Any unauthorized use of this Site terminates the license granted by COSMOS.
You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of this Site as long as the link does not portray COSMOS, its affiliates, or their vendors’ products or services in a false, misleading, derogatory, or otherwise offensive matter. Usage Rights and Prohibited Activities

Botnets
COSMOS retains the right, at our sole discretion, to terminate any accounts involved or associated with botnets and other related activities that attempt to or do take control of or redirect in any way the Site or any hosting servers. If any hostnames are used as command and control points for botnets, COSMOS reserves the right to direct the involved hostnames to a honeypot, loopback address, logging facility or any other destination at our discretion and, where appropriate, to report such activity to appropriate law enforcement agencies.
Law Enforcement and Compliance with Laws
You are required to comply with all applicable laws and regulations in connection with your use of the Site, and such further limitations as may be set forth in any written or on-screen notice from us. You represent and warrant that you will not use the Site for any purpose that is either unlawful or prohibited by this Agreement. COSMOS reserves the right to disclose any information about you or your use of the Site in connection with any investigations by us or law enforcement authorities as may be appropriate or necessary to satisfy any applicable law, regulation, subpoena, legal process or governmental request.
Members and User-Generated Content
Members over the age of thirteen (13) may subscribe to participate in certain interactive services offered through the Site, which may include the ability to post, upload or transmit any type of content (such as text, email, photographs, images and user-generated content) and submit comments, suggestions, ideas, comments, questions or other information (collectively, “Member Content”). Such subscribing members will have access to the interactive services offered through the Site by way of a username and password. All users, whether subscribed or unsubscribed, may submit questions through the Site. COSMOS does not claim ownership of any Member Content. Member Content does not, however, include any user data that we collect and use in accordance with our Privacy Policy and also excludes any content created by you based on or integrated with any existing Cosmos Content we own or license, as to which we retain full ownership and intellectual property rights. Nothing herein shall be deemed to constitute any authorization for any user to create new content that is derivative of or based upon any Cosmos Content without our prior written permission.
If you do post or upload any Member Content to the Site, unless we indicate otherwise, you grant COSMOS and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, assignable and fully sublicensable right (including any moral rights) to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Member Content throughout the world in any media now known or hereafter invented for any and all business, marketing and other purposes relating to, concerning or for the benefit of COSMOS, its affiliates, New York Cosmos professional, exhibition and amateur soccer teams and players, and professional and amateur soccer leagues. COSMOS may use any ideas, concepts, know-how or techniques contained in Member Content for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and services using Member Content. COSMOS has no obligation to maintain any Member Content and may remove, refuse to post or edit any Member Content at any time in its sole discretion. You grant COSMOS and its affiliates and licensees the right to use the user name you submit in connection with such Member Content.
Without limiting your other obligations under these Terms, you represent and warrant that you own or otherwise control all of the rights to any Member Content that you post or upload, that such content is accurate, that use of such content does not violate any provisions of these Terms and will not cause injury to any person or entity. COSMOS has the right, but not the obligation, at any time to monitor and edit or remove, in whole or in part, any Member Content or other user generated activity or content. COSMOS takes no responsibility and assumes no liability for any Member Content posted by you or other content posted by any third party.
Third-Party Sites
Our Site may include links to other sites on the Internet that are owned and operated by online merchants and other third parties. You acknowledge that we are not responsible for the availability of, or the content located on or through, any third-party site. You should contact the site administrator or webmaster for those third-party sites if you have any concerns regarding such links or the content located on such sites. Your use of those third-party sites is subject to the terms of use and privacy policies of each site, and we are not responsible therein. Limitation of Liability

Indemnification

Governing Law and Jurisdiction
Our Site is operated from within the State of New York. As such, COSMOS is subject to the laws of the State New York, and such laws will govern these Terms, without giving effect to any choice of law rules. We make no representation that our Site and any Cosmos Content or other services are appropriate, legal or available for use in any location outside the United States and its Territories. You acknowledge and agree that you use and access the Site voluntarily. If you access the Site from a jurisdiction other than the United States, you agree that you do so on your own initiative, and are responsible for compliance with all local laws, if and to the extent local laws are applicable to your use of the Site.
IN CONNECTION WITH ANY DISPUTE, CLAIM OR BREACH RELATING IN ANY WAY, ARISING OUT OF, OR CONCERNING THE SITE, YOUR AND ANY MEMBER’S USE OF THE SITE, THESE TERMS AND/OR THE RELATIONSHIP BETWEEN YOU AND COSMOS, YOU AND COSMOS AGREE TO (1) TO SUBMIT TO THE EXCLUSIVE PERSONAL JURISDICTION OF THE FEDERAL AND STATE COURTS LOCATED IN THE STATE AND COUNTY OF NEW YORK, AND (2) WAIVE ANY AND ALL DEFENSES TO JURISDICTION AND VENUE IN SUCH COURTS, INCLUDING ANY DEFENSE OR OBJECTION BASED ON INCONVENIENT FORUM.

COSMOS are committed to protecting your privacy and the security of your personal information you provide to us. We explain how we protect your privacy and how we may use certain personal information you provide to us in our Privacy Policy, which you should read carefully before using the Site. You, in turn, agree and consent to the terms of the Privacy Policy by your use of the Site. The Privacy Policy is an integral part of these Terms and your agreement with COSMOS.

Notice and Procedure for Making Copyright Infringement Claims
COSMOS has a strict policy against the use of any materials or content that violate the copyright or other intellectual property rights of a third party. COSMOS reserves the right, in appropriate circumstances and in its discretion, to disable and/or terminate the accounts of Members who infringe the intellectual property rights of others.
Pursuant to the Digital Millennium Copyright Act, Title 17, United States Code, Section 512(c)(2) (“DMCA”), COSMOS has registered an agent with the U.S. Copyright Office to receive any notifications of claimed copyright infringements relating to any content or this Site (the “DMCA Agent”). Any such notifications must include the following information as required by the DMCA:
1. A physical or electronic signature of the copyright owner or a person authorized to act on behalf of the copyright owner.
2. Description of the specific copyrighted work(s) alleged to have been infringed.

Other Terms
If any provision of these Terms shall be held by a court or other tribunal of competent jurisdiction unlawful, void or unenforceable for any reason, the other provisions (and any partially-enforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent.
You agree that these Terms and any other agreements referenced herein may be assigned by COSMOS, in its sole discretion, to a third party in the event of a merger, acquisition or sale by COSMOS or its affiliates of all or a portion of its assets relating to the business involving the Site.
These Terms shall apply in addition to, and shall not be superseded by, any other written agreement between you and COSMOS. Members agree that by accepting these Terms, Members are consenting to the use of their personally identifiable information and other practices as described in our Privacy Policy, which forms a part of these Terms and your agreement with COSMOS.
Our failure to enforce any provisions of these Terms or to respond to an alleged breach by you or other parties shall not in any way waive COSMOS’ right to enforce subsequently any terms or conditions of these Terms or to act with respect to similar breaches.
Any information supplied to you by of our employees or agents, whether by telephone, e-mail, letter, facsimile or other form of communication, is intended solely as general guidance on the use of the Site, and shall not constitute legal, tax, business or other professional advice, for which you are solely responsible to obtain from your own advisors. We make no representations or warranties concerning any course of action taken by you or any other person following or otherwise using any information provided by our employees or agents, or made available on or through the Site.
No joint venture, partnership, employment or agency relationship exists between you and COSMOS as a result of these Terms and your use of the Site.
